Common use of 6Successors and Assigns Clause in Contracts

6Successors and Assigns. This Agreement shall inure to the benefit of the parties and their respective heirs, legal representatives, successors and assigns; except that, (i) unless Purchaser consents in writing, no assignment made by Company in violation of this Agreement shall be effective or confer any rights on any purported assignee of Company, and (ii) unless such assignment complies with the Assignment Form attached to the Subordinated Note, no assignment made by Purchaser shall be effective or confer any rights on any purported assignee of Purchaser. The term “successors and assigns” will not include a purchaser of the Subordinated Note from Purchaser merely because of such purchase but shall include a purchaser of the Subordinated Note pursuant to an assignment complying with the Assignment Form attached to the Subordinated Note.
