Acceptance of Appointment; Standard of Performance. The Asset Manager accepts the appointment as a discretionary asset manager and agrees to use its best professional judgment to make timely investment decisions for the Fund with respect to the investments of the Portfolio Account in accordance with the provisions of this Agreement.
