Assignment Clause Samples
The Assignment clause governs whether and how a party to a contract can transfer its rights or obligations under the agreement to another party. Typically, this clause specifies if prior written consent is required before any assignment can take place, and may outline exceptions or conditions under which assignment is permitted, such as in the case of a merger or sale of business assets. Its core function is to maintain control over who is bound by or benefits from the contract, thereby preventing unwanted or unapproved third parties from becoming involved and ensuring that all parties are aware of and agree to any changes in contractual relationships.
