Access to Certain Documentation and Information. The Trustee shall provide the related Certificateholders or Certificate Owners with access to a copy of each report, if any, received by it as holder of the Deposited Underlying Certificates under the Underlying Agreement. The Trustee shall also provide the Depositor and the Underlying Certificate Seller with access to any such report and to all written reports, documents and records required to be maintained by the Trustee in respect of its duties hereunder. Such access shall be afforded without charge but only upon reasonable request evidenced by prior written notice received by the Trustee two Business Days prior to the date of such proposed access and during normal business hours at offices designated by the Trustee.

(b) Upon reasonable advance notice in writing, the Servicer will provide to each Certificateholder which is a savings and loan association, bank or insurance company certain reports and reasonable access to information and documentation regarding the Loans sufficient to permit such Certificateholder to comply with applicable regulations of the OTS or other regulatory authorities with respect to investment in the Certificates; provided that the Servicer shall be entitled to be reimbursed by each such Certificateholder for actual expenses incurred by the Servicer in providing such reports and access.

Access to Certain Documentation and Information. Regarding the ------------------------------------------------------------- Mortgage Loans. -------------- (a) The Servicer and the Transferor shall provide to the Certificateholders which are federally insured savings and loan associations, the Office of Thrift Supervision (successor to the Federal Home Loan Bank Board), the Federal Deposit Insurance Corporation and the supervisory agents and examiners of the Office of Thrift Supervision, access to the documentation regarding the Mortgage Loans to the extent required by applicable regulations of the Office of Thrift Supervision and the Federal Deposit Insurance Corporation (acting as operator of the SAIF or the BIF). The Servicer and the Transferor shall provide to the Trustee, and the Servicer, the Transferor and the Trustee shall provide to the Certificate Insurer, access to the documentation regarding the Mortgage Loans. Such access in all cases shall be afforded without charge, but only upon reasonable request and during normal business hours at the offices of the Servicer, the Transferor or the Trustee, as the case may be. Nothing in this Section 3.11(a) shall derogate from the obligation of the Transferor or the Servicer to observe any applicable law prohibiting disclosure of information regarding the Mortgagors, and the failure of the Transferor or the Servicer to provide access as provided in this Section 3.11(a) as a result of such obligation shall not constitute a breach of this Section 3.11(a). (b) The Servicer shall supply information in such form as the Trustee shall reasonably request to the Paying Agent and the Trustee, on or before the Determination Date preceding the related Distribution Date, as is required in the Trustee's reasonable judgment to enable the Paying Agent or the Trustee, as the case may be, to make required distributions and to furnish the required reports to Certificateholders and to make any drawing under the Certificate Insurance Policy.

(c) If any Loan is subject to an Early Payment Default, the Servicer will forward to the Guarantor, upon its reasonable request, copies of the Loan documentation and related underwriting documentation with respect to such Loan that is or was required to be delivered to the Trustee pursuant to this Agreement. (d) The Guarantor will be permitted, upon reasonable notice and during normal business hours, at the chief executive office of the Servicer, to review copies of the Loan documentation and related underwriting documentation that is or was required to be delivered to the Trustee pursuant to this Agreement with respect to 300 of the Loans (a "Mortgage Loan Sample"), in order to ascertain whether each such Loan was purchased generally in accordance with the Seller's underwriting criteria as set forth in the Information Circular. If, as a result of such investigation, the Guarantor determines (after the appeals process set forth in the Freddie Mac Single Family Seller/Servicer Guide) that more than 20% (▇▇ ▇▇▇ber) of the Loans in such Mortgage Loan Sample were not so underwritten, the Servicer will permit the Guarantor to review an additional Mortgage Loan Sample in accordance with the same procedures until the Guarantor has reviewed a Mortgage Loan Sample that contains fewer than 20% (by number) of Loans that were not purchased generally in accordance with the Seller's underwriting criteria set forth in the Information Circular. Upon reasonable advance notice in writing, the Master Servicer will provide to each Certificateholder and/or Certificate Owner which is a savings and loan association, bank or insurance company certain reports and reasonable access to information and documentation regarding the Mortgage Loans sufficient to permit such Certificateholder and/or Certificate Owner to comply with applicable regulations of the OTS or other regulatory authorities with respect to investment in the Certificates; provided that the Master Servicer shall be entitled to be reimbursed by each such Certificateholder and/or Certificate Owner for actual expenses incurred by the Master Servicer in providing such reports and access.
