Common use of Access to Proprietary Information Clause in Contracts

Access to Proprietary Information. The Executive acknowledges and agrees that during the term of his employment with the Company he has had and will have access to and become familiar with Proprietary Information (as hereafter defined) of the Company and its subsidiaries. The Executive agrees that for purposes of this Section 8 that employment includes full time, part time and consulting work performed by the Executive as employee or consultant of the Company or any of its subsidiaries at any time. The Executive further acknowledges and agrees that he is in a position of trust and confidence with the Company and its subsidiaries regarding such Proprietary Information and that it is the Executive's duty to maintain the confidentiality of such Proprietary Information and use it only for the benefit of the Company and its subsidiaries.
