Common use of Account Verification Clause in Contracts

Account Verification. Any of Agent's officers, employees or agents shall have the right, at any time or times hereafter, in the name of Agent, any designee of Agent or Borrower, to verify the validity, amount or any other matter relating to any Accounts by mail, telephone, electronic communication or otherwise. Borrower shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Account Verification. Any of Agent's officers, employees or agents shall have the right, at any time or times hereafter, in the name of Agent, any designee of Agent or any Borrower, to verify the validity, amount or any other matter relating to any Accounts by mail, telephone, electronic communication or otherwise; provided, that so long as no Default or Event of Default exists, any verification of Accounts by Agent shall be telephonically in the presence of a representative of a Borrower. Borrower Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Account Verification. Any of Agent's ’s officers, employees or agents shall have the right, at any time or times hereafter, in the name of Agent, any designee of Agent or any Co-Borrower, to verify the validity, amount or any other matter relating to any Accounts by mail, telephone, electronic communication or otherwise. Borrower and its Subsidiaries shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Any of Agent's officers, employees or agents shall have the right, at any time or times hereafter, in the name of Agent, any designee of Agent or BorrowerBorrower or any Guarantor, to verify the validity, amount or any other matter relating to any Accounts by mail, telephone, electronic communication telegraph or otherwise; provided, that unless a Default or an Event of Default is then in existence, prior to conducting each set of verifications, Agent shall generally consult with Borrower about the verification process. Borrower shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.
