Accuracy Clause Samples
The Accuracy clause requires that all representations and warranties made by a party in an agreement are true and correct at the time they are made, and often at closing or other key dates. In practice, this means that the party must ensure all factual statements about their business, assets, or obligations are accurate and not misleading, and may need to update or disclose any changes before the agreement is finalized. This clause serves to protect the other party from relying on false or incomplete information, thereby allocating risk and ensuring transparency in the transaction.
