Accuracy and Completeness. No representation or warranty by the Shareholder in this Agreement nor any certificate, schedule, statement, document or instrument furnished or to be furnished to Brigade pursuant hereto contains any untrue statement of a material fact or omits to state a material fact required to be stated herein or therein or necessary to make any statement herein or therein not materially misleading.
