Common use of Activities and Deliverables Clause in Contracts

Activities and Deliverables. (a) The Recipient must: 1. carry out the Activities set out in Schedule C by the associated Targeted Completion Dates; 2. submit all required Reports, as set out in Section 3.1; and 3. submit all required Deliverables and any other documentation outlined in Schedule C, or otherwise required by the IESO, as evidence of the Work completed by any Mandatory Submission Deadline set out in Schedule C. (b) Upon submission of each Deliverable, the Recipient represents and warrants to the IESO that: 1. the Recipient is in compliance with the Funding Agreement; 2. the Recipient has entered into an employment agreement with the CEC and the CEC is employed on a full time basis; 3. the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding; 4. no Default Event or Termination Event has occurred or is occurring; and 5. all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

(b) Upon submission of each Deliverable, the Recipient represents and warrants to the IESO that: 1. the Recipient is in compliance with the Funding Agreement; 2. the Recipient has entered into an employment agreement with the CEC and the CEC is employed on a full time basis; 3. the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding; 43. no Default Event or Termination Event has occurred or is occurring; and 54. all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

(c) The Recipient acknowledges and agrees that: 1. the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

(ii) where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

Activities and Deliverables. (a) The Recipient must: 1. : carry out the Activities activities set out in the Work Plan by the Target Completion Dates, as set out in Schedule C by the associated Targeted Completion Dates; 2. “C”; submit all required Reports, as set out in Section 3.1; and 3. submit all required Deliverables Invoices, Proof of Payment, and any other supporting documentation outlined in Schedule C“D”, or otherwise required by the IESO, as evidence of work completed; complete and submit the Work completed Requests for Funding and any applicable Deliverables by the Submission Deadlines; and not make any Mandatory Submission Deadline set out in Schedule C. (b) change to the Initiative, or any other elements of the Proposal or the Funding Agreement, other than a change to the Funding Agreement with prior written consent of the IESO pursuant to Section 6.2. Upon submission of each Deliverable, the Recipient represents shall represent and warrants warrant to the IESO that: 1. : the Recipient is in compliance with the Funding Agreement; 2. ; every External Resource used by the Recipient has entered into an employment agreement with to carry out the CEC and the CEC is employed on Deliverables was procured using a full time basis; 3. Competitive Procurement Process, if required to do so pursuant to Section 4.2; the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding; 4. , as per the Recipient’s obligations under Sections 4.4 and 4.5, respectively; as of the submission date of the Deliverable, no Default Event or Termination Event has occurred or is occurring; and 5. and all information contained in the Deliverables is true, accurate and complete in all material respects. (c) . The Recipient acknowledges and agrees that: 1. : the IESO retains the sole and absolute discretion to accept or reject Deliverables and evidence of completion of the activities set out in the Work Plan, other than as set out herein; the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, IESO and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. acceptance of a Deliverable by the IESO under the Funding Agreement is only for the purpose of verifying the acceptable completion of the Deliverables for the purpose of the Funding Agreement and is not an endorsement by the IESO for any other purpose; it is the responsibility of the Recipient to notify the IESO immediately of any delays or events that may materially affect the completion of the Initiative at any time; the Recipient is solely responsible for any action or inaction, whether or not such action or inaction results in a Default Event or Termination Event, of the Internal Resources and External Resources used by the Recipient in respect of the Initiative and the Funding Agreement; and where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

Activities and Deliverables. (a) The Recipient must: 1. (i) carry out the Activities set out in Schedule C by the associated Targeted Completion Dates; 2. (ii) the Request for Funding Report does not request funding in respect of any Costs incurred for the services of any single External Resource used by the Recipient has entered into an employment agreement with to carry out any of the CEC and Deliverables in excess of the CEC is employed on a full time basisThreshold Amount of sixty percent (60%) of the Maximum Funding Amount; 3. (iii) the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding; 4. (iv) no Default Event or Termination Event has occurred or is occurring; and 5. (v) all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. (i) the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. (ii) where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

Activities and Deliverables. (a) The Recipient must: 1. (i) carry out the Activities set out in Schedule C the Work Plan by the associated Targeted Target Completion Dates, as set out in Schedule “C”; 2. (ii) submit all required Reports, Reports as set out in Section 3.1; and; 3. (iii) submit all required Deliverables Invoices, Proof of Payment, and any other supporting documentation outlined in Schedule C“D”, or otherwise required by the IESO, as evidence of the Work completed Activities completed; (iv) complete and submit the Requests for Funding and any applicable Deliverables by the Submission Deadlines; and (v) not make any Mandatory Submission Deadline set out in Schedule C.changes to the Proposed Project Partner, the Project, the Project Type or any other elements of the Application or the Funding Agreement, other than a change to the Funding Agreement with prior written consent of the IESO pursuant to Section 7.3. (b) Upon submission of each Deliverable, the Recipient represents and warrants to the IESO that: 1. (i) the Recipient is in compliance with the Funding Agreement, and, as applicable, the FIT Program and LRP; 2. (ii) every External Resource used by the Recipient has entered into an employment agreement with to carry out the CEC and the CEC is employed on Deliverables was procured using a full time basisCompetitive Procurement Process, if required to do so pursuant to Section 4.2; 3. (iii) the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding, as per the Recipient’s obligations under Sections 4.4 and 4.5, respectively; 4. (iv) as of the submission date of the Deliverable, no Default Event or Termination Event has occurred or is occurring; and 5. (v) all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. (i) the IESO retains the sole and absolute discretion to accept or reject Deliverables and evidence of completion of the Activities other than as set out herein; (ii) the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, IESO and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; (iii) acceptance of a Deliverable by the IESO under the Funding Agreement is only for the purpose of verifying the acceptable completion of the Deliverables for the purpose of the Funding Agreement and is not an endorsement by the IESO for any other purpose; (iv) it is the responsibility of the Recipient to notify the IESO immediately of any delays or events that may materially affect the completion of the Work at any time; (v) the Recipient is solely responsible for any action or inaction, whether or not such action or inaction results in a Default Event or Termination Event, of the Internal Resources and External Resources used by the Recipient in respect of the Work and the Funding Agreement; and, 2. (b) Upon submission of each Deliverable, the Recipient represents and warrants to the IESO that: 1. (i) the Recipient is in compliance with the Funding Agreement; 2. (ii) every External Resource used by the Recipient has entered into an employment agreement with to carry out the CEC and the CEC is employed on Deliverables was procured using a full time basisCompetitive Procurement Process, if required to do so pursuant to Section 4.2; 3. (iii) the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding, as per the Recipient’s obligations under Sections 4.4 and 4.5, respectively; 4. (iv) as of the submission date of the Deliverable, no Default Event or Termination Event has occurred or is occurring; and 5. (v) all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. (i) the IESO retains the sole and absolute discretion to accept or reject Deliverables and evidence of completion of the Activities other than as set out herein; (ii) the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, IESO and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and,; 2. where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction (iii) acceptance of the Lead Recipient appointed a Deliverable by such Joint Recipients to represent them to the IESO under the Funding Agreement is only for the purpose of verifying the acceptable completion of the Deliverables for the purpose of the Funding Agreement and is not an endorsement by the IESO for any other purpose; (iv) it is the responsibility of the Recipient to notify the IESO immediately of any delays or events that may materially affect the completion of the Work at any time; and (v) the Recipient is solely responsible for any action or inaction, whether or not such action or inaction results in a Default Event or Termination Event, of the Internal Resources and External Resources used by the Recipient in respect of the Work and the Funding Agreement.

(b) Upon submission of each Deliverable, the Recipient represents and warrants to the IESO that: 1. the Recipient is in compliance with the Funding Agreement; 2. in the case of the Capacity Building (Part B) and the Energy Resiliency & Monitoring Areas of Funding, the Request for Funding Report does not request funding in respect of any Costs incurred for the services of any single External Resource used by the Recipient has entered into an employment agreement with to carry out any of the CEC and Deliverables in excess of the CEC is employed on a full time basisThreshold Amount; 3. the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding; 4. no Default Event or Termination Event has occurred or is occurring; and 5. all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

(ii) where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.

(iii) the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding, as per the Recipient’s obligations under Sections 4.4 and 4.5, respectively; 4. (iv) as of the submission date of the Deliverable, no Default Event or Termination Event has occurred or is occurring; and 5. (v) all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. (i) the IESO retains the sole and absolute discretion to accept or reject Deliverables and evidence of completion of the Activities other than as set out herein; (ii) the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, IESO and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; (iii) acceptance of a Deliverable by the IESO under the Funding Agreement is only for the purpose of verifying the acceptable completion of the Deliverables for the purpose of the Funding Agreement and is not an endorsement by the IESO for any other purpose; (iv) it is the responsibility of the Recipient to notify the IESO immediately of any delays or events that may materially affect the completion of the Work at any time; (v) the Recipient is solely responsible for any action or inaction, whether or not such action or inaction results in a Default Event or Termination Event, of the Internal Resources and External Resources used by the Recipient in respect of the Work and the Funding Agreement; and, 2. (i) the Recipient is in compliance with the Funding Agreement; 2. the Recipient has entered into an employment agreement with the CEC and the CEC is employed on a full time basis; 3. (ii) the Request for Funding Report does not request funding in respect of any Ineligible Expenses or duplicative funding; 4. (iii) no Default Event or Termination Event has occurred or is occurring; and 5. (iv) all information contained in the Deliverables is true, accurate and complete in all material respects. (c) The Recipient acknowledges and agrees that: 1. (i) the determination of the acceptability, quality, and completeness of a Deliverable and evidence of completion of the Activities set out in the Work Plan will be in the sole and absolute discretion of the IESO, and the IESO will have the right to reject all or a portion of any Deliverable if it determines that the Deliverable is not acceptable, is of insufficient quality, or is incomplete; and, 2. (ii) where the Recipients are Joint Recipients, the Joint Recipients are jointly and severally liable under the Funding Agreement, including for any action or inaction of the Lead Recipient appointed by such Joint Recipients to represent them to the IESO under the Funding Agreement.
