Activities of Consultant. During the term of this Agreement specified in Section 4 hereof ("Term"), Consultant shall undertake for and on behalf of, and to the extent specifically requested by, the Board of Directors or the President of the Corporation, to make himself available to advise the Corporation and its officers and directors at all reasonable times, by telephone, by letter or in person with respect to the business of the Corporation and with respect to past matters or transactions of the Corporation. In addition, the Consultant shall make himself available, upon reasonable advance notice, to participate in the Corporation's negotiation of new, and renegotiation of existing, service contracts.
Activities of Consultant. (a) During the term of this Agreement specified in Section 4 hereof (the "Term") and subject further to the terms and provisions hereof , the Consultant will make himself available to the Corporation as a consultant to assist in the administration of the affairs of the Corporation within the area of activities of the Consultant during the Consultant's period of employment by the Corporation, and to provide such other services for the Corporation as may be reasonably requested by the Corporation from time to time and agreed to by the Consultant. The parties contemplate that Consultant's services hereunder will ordinarily be performed by telephone or electronic communication, and will not require Consultant's physical presence at the Corporation's place of business; if the Corporation requests that Consultant be physically present, the time and duration of such work shall be mutually agreed to by the parties. Consultant shall not be asked for consulting services hereunder in excess of twenty (20) hours per month.
Activities of Consultant. In connection with this engagement, it is understood that Consultant and/or the Consulting Principal may identify and facilitate contact between Helix and corporations or individuals that may potentially become the Helix's joint venture partners, licensees, commercial collaborators, agents, directors, or investors. To the extent that Consultant and/or the Consulting Principal contact corporations or individuals as potential joint venture partners, licensees, commercial collaborators, agents, directors, or investors, Helix acknowledges that Consultant's and/or the Consulting Principal's sole role is to initially contact such potential joint venture partners, licensees, commercial collaborators, agents, directors, or investors and refer any resulting contact to Helix or its designated agent(s). Accordingly, Consultant and/or the Consulting Principal shall have no liability to Helix or any other person or party resulting from their so acting in connection with initiating such contacts referenced herein. It is explicitly agreed that Consultant's and/or the Consulting Principal's role under this engagement will not include, without limitation: performing due diligence; verifying information provided to Consultant an/or the Consulting Principal or, directly or indirectly, to other persons or parties pursuant to contacts made by Consultant and/or the Consulting Principal as contemplated by this paragraph; preparing any offering memoranda; or, negotiating or structuring any agreements, licenses, commercial collaborations, or investments by or with third parties.
Activities of Consultant. The Consultant acknowledges that Consultant and Consultant’s agents and assistants are independent contractors and not employees of the Company or any of its affiliates for all purposes, including taxes and labor law, and that Consultant and Consultant’s agents and assistants shall not be entitled to any rights or benefits to which an employee of the Company may be entitled. Consultant will be responsible for the payment of all taxes, fees, expenses (unless otherwise provided in Section 4), and other charges arising out of Consultant’s activities, including without limitation, federal, state and local income taxes, workers compensation coverage and similar obligations and hereby indemnifies and holds the Company and its affiliates harmless from and against all losses, claims, damages and expenses (including legal fees and expenses) arising out of or related to Consultant’s breach of any provision of this Section 5. Consultant will provide to the Company, upon the Company’s request, appropriate representations from the Consultant’s accountant with respect to the Consultant’s tax returns, in the event that information included in such returns is required in order for the Company to establish that Consultant has reported and paid such taxes and other obligations as required by law.
Activities of Consultant. During the term of this Agreement, ▇▇▇▇▇▇▇▇▇▇ will assist the Company in the continued operation of its business, and will render counsel and advice, and such other services as the Company desires, with the particular assignment of pursuing and negotiating acquisitions of other businesses. During this period, ▇▇▇▇▇▇▇▇▇▇ will continue to serve as Vice-Chairman of the Board. It is contemplated that ▇▇▇▇▇▇▇▇▇▇ will devote 5 (five) days of his time per month, or up to forty (40) days during the period of April 29, 1997, through December 31, 1997.
Activities of Consultant. (a) During the Term, Consultant shall undertake for and on behalf of the Company any reasonable services requested by the Company with respect to the Downstream Business or the Company and its subsidiaries (the “Company Group”), including but not limited supporting the transition of operations managed by Consultant for ▇▇▇▇▇▇▇▇ HoldCo and its subsidiaries prior to Closing and assisting as questions arise related to operations managed by the Consultant for ▇▇▇▇▇▇▇▇ HoldCo and its subsidiaries prior to Closing (the “Services”). (b) Consultant shall devote such time, attention and energy as is necessary to perform and discharge the Services under this Section 3 in an efficient, trustworthy and businesslike manner.
Activities of Consultant. During the term of this Agreement, Pichel will assist the Company in the operation of the assets and business which the Company has purchased from Sky-Tracker of America, Inc., in accordance with the Purchase Agreement, and will render counsel and advice, will perform certain engineering and design services in the development of new products and the improvement of existing products, and will perform such other services as the Company assigns to him from time to time. Pichel shall devote a minimum of thirty (30) hours per week during the term of this Agreement to the performance of his duties hereunder, and shall furnish the Company an accounting of such time spent in the performance of such duties. Consultant may perform some of his engineering, design, prototype and/or developmental activities at his own design and shop facility in Aguanga, California, unless the Company deems it reasonably necessary or desirable that such services be performed at the Company's facilities. Consultant shall undertake such travel as the Company deems reasonably necessary or desirable to promote the business and affairs of the Company.
Activities of Consultant. During the term of this Agreement, ▇▇▇▇▇▇ will assist the Company in the continued operation of its business and will render counsel and advice and such other services as the Company and ▇▇▇▇▇▇ may mutually agree upon from time to time. ▇▇▇▇▇▇ shall devote such time to the business affairs of the company as he, in his sole judgment and discretion, shall deem necessary or appropriate for such purposes.
Activities of Consultant. Consultant shall provide consulting with respect to radio programming as reasonably assigned to him by E▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇▇, Chairman, President and CEO of the Company. Consultant shall provide the consulting services to E▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇▇, W▇▇▇▇▇ ▇. ▇▇▇▇ or the Company’s Director of Programming. Consultant shall use commercially reasonable efforts in the performance of his services hereunder. Consultant shall make himself available, at times reasonably acceptable to him, for the performance of such services and shall devote the time necessary to fully perform such services; provided, however, that Consultant shall be permitted to perform the services hereunder from his home or office and shall not be required to work more than a maximum of ten (10) hours per month. Consultant shall not be required to work on site at the Company or to travel unless mutually agreed to. Consultant’s engagement under this Agreement is nonexclusive; during the Term of this Agreement, Consultant may engage in any other business and ventures, and/or act as a consultant or employee for an organization other than Company, so long as such other work does not violate Section 11 of this Agreement.
Activities of Consultant. In performing its services under this Agreement, Consultant will not make use of spam e-mails or spam faxes or any other improper promotional methods or activities and shall not engage any subcontractor involved in such activities.
