Adjustment for Stock Split Clause Samples
The Adjustment for Stock Split clause ensures that the terms of an agreement, such as the number of shares or price per share, are automatically modified if the company undergoes a stock split or reverse stock split. For example, if a party is entitled to receive a certain number of shares and the company later splits its stock 2-for-1, the number of shares owed would double to maintain the same economic value. This clause is essential for preserving the intended value and fairness of the agreement, preventing unintended dilution or windfall gains due to changes in the company’s capital structure.
