Administrative Agent May Assign Clause Samples

The "Administrative Agent May Assign" clause authorizes the administrative agent in a financial agreement to transfer its rights and obligations to another party. In practice, this means the agent can delegate its role—such as managing loan disbursements or communications between lenders and borrowers—to a successor or third party, often without needing the consent of other parties involved. This clause ensures continuity of administrative functions and provides flexibility for the agent, addressing situations where the original agent can no longer perform its duties or wishes to exit the arrangement.
Administrative Agent May Assign. Each Pledgor agrees that upon any sale or transfer by Administrative Agent or Lenders of the Loan Documents and the indebtedness evidenced thereby, Administrative Agent may deliver to the purchaser or transferee the Collateral, who shall thereupon become vested with all powers and rights given to Administrative Agent in respect thereto, and Administrative Agent shall be thereafter forever relieved and fully discharged from any liability or responsibility in connection therewith.
