Common use of Agent May Perform Clause in Contracts

Agent May Perform. If the Pledgor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 13.

If the Pledgor fails to perform any agreement contained herein, the Collateral Agent may itself perform, or cause performance of, such agreement, and the expenses of the Collateral Agent incurred in connection therewith shall be payable by the Pledgor under pursuant to Section 136.4.

The Agent agrees to notify the Uniroyal Borrower of any such performance; provided, however, that the failure to give such notice shall not affect the Agent's right to perform or the validity of such performance.

If the Pledgor fails to perform any agreement contained herein, upon reasonable notice to the Pledgor, the Agent may itself perform, perform or cause performance of, such agreementof this Agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 13Pledgor.

The Agent agrees to notify the Crompton Borrowers of any such performance; provided, however, that the failure to give such notice shall not affect the Agent's right to perform or the validity of such performance.

Agent May Perform. If the Pledgor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the reasonable expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 13SECTION 13(b).

If the any Pledgor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by a part of the Pledgor under Section 13Secured Obligations.

If the any Pledgor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the reasonable expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Pledgors pursuant to Section 136.4.

If the Pledgor fails to perform any agreement contained herein, the Agent may may, as the Agent deems reasonably necessary to protect the security interest granted hereunder in the Collateral or to protect the value thereof, but without any obligation to do so and without notice, itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 1311(b) hereof.

Agent May Perform. If the Pledgor fails to perform any agreement contained hereinherein (after the expiration of any applicable grace period or opportunity to cure), the Agent may itself perform, or cause performance of, such agreement, and the reasonable expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 1314(b).

Agent May Perform. If the Pledgor fails an Event of Default shall be continuing or result from any Pledgor’s failure to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the any expenses of the Agent incurred in connection therewith shall be payable by in accordance with Section 1.3(e) of the Pledgor under Section 13Credit Agreement.

Agent May Perform. If the Pledgor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 13.16 hereof. ----------

If the either Pledgor fails to perform any agreement contained hereinherein or with respect to the Collateral, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor Pledgors under Section 1313 hereof.

If the any Pledgor fails to perform any agreement contained herein, the Agent may itself perform, perform or cause performance of, of such agreement, and the expenses of the Agent incurred in connection therewith shall be payable treated as provided in Section 7 hereof. Agent shall use reasonable efforts to notify Pledgor of any such performance by the Pledgor under Section 13Agent, provided that failure to do so shall not affect Agent's rights hereunder, including rights of reimbursement relating to such performance.

Agent May Perform. If the Pledgor fails to perform any ----------------- agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 13Pledgor.

Agent shall use reasonable efforts to notify Pledgor of any such performance by the Pledgor under Section 13Agent, provided that failure to do so shall not affect Agent’s rights hereunder, including rights of reimbursement relating to such performance.

If the Pledgor fails to perform any agreement contained herein, the Agent or any Bank may itself perform, or cause performance of, such agreement, and the expenses of the Agent or such Bank incurred in connection therewith shall be payable by the Pledgor under Section 1313 hereof.

If the Pledgor fails to perform any agreement contained hereinherein after being requested in writing so to perform (it being understood that no such request need be given after the occurrence and during the continuance of an Event of Default), the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under pursuant to Section 136.4.
