Agent May Perform Clause Samples

Agent May Perform. If the Pledgor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by the Pledgor under Section 13.

Agent May Perform. If the Borrower fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the reasonable expenses of the Agent incurred in connection therewith shall be payable by the Borrower pursuant to Section 6.4.

Agent May Perform. If any Grantor fails to perform any agreement contained herein, the Agent may, but without any obligation to do so, upon notice to the Company of at least five Business Days in advance and if the Company fails to cure within such period, itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by such Grantor under Section 20.

Agent May Perform. If Company fails to perform any agreement contained herein, Agent may itself perform, or cause performance of, such agreement, and the expenses of Agent incurred in connection therewith shall be payable by Company under Section 15 hereof, and be a part of the Secured Obligations.

Agent May Perform. If any Grantor fails to perform any agreement contained herein, the Agent may, as the Agent deems necessary to protect the security interest granted hereunder in the Collateral or to protect the value thereof, but without any obligation to do so and without notice, itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by such Grantor under Section 21(b).

Agent May Perform. If Subsidiary Guarantor fails to perform any agreement contained herein, Agent may itself perform, or cause performance of, such agreement, and the expenses of Agent incurred in connection therewith shall be payable by Subsidiary Guarantor under Section 19.

Agent May Perform. The Agent is authorized to perform, or cause performance of, any agreement contained herein in the event that the Company fails to timely perform the same, and the reasonable expenses of the Agent incurred in connection therewith shall be payable by the Company. The Agent is further authorized in its discretion to take any other action, either on its own behalf or on behalf of the Company (and as regards actions taken on behalf of the Company, this authorization is irrevocable and is an agency coupled with an interest), as the Agent may elect, which the Agent may deem necessary or appropriate to protect and preserve the rights, titles and interests of the Agent hereunder. The powers conferred on the Agent pursuant to this Agreement are conferred solely to protect the Secured Parties' interest in the Pledged Collateral and shall not impose any duty or obligation on any Secured Party to perform any of the powers herein conferred. No exercise of any of the rights provided for in this Agreement constitute a retention of collateral in satisfaction of indebtedness.

Agent May Perform. (a) If any Grantor fails to perform any agreement contained herein, the Agent may itself perform, or cause performance of, such agreement, and the expenses of the Agent incurred in connection therewith shall be payable by such Grantor under Section 15(b) to the fullest extent permitted by applicable law. (b) The Agent or its designated representatives shall have the right to the extent reasonably requested and upon reasonable prior notice, at any reasonable time during normal business hours of such Grantors and from time to time, to inspect the Grantors' premises and to examine the Grantors' books, records and operations relating to the Collateral.

Agent May Perform. If the Pledgor fails to perform any representation, warranty, covenant or agreement required to be performed by it contained herein, the Agent may, but shall not be obligated to, perform, or cause performance of, such representation, warranty, covenant or agreement, and the out-of-pocket expenses of the Agent incurred in connection therewith shall be payable by the Pledgor.
