Agent Services. 2.3.4.1 Party B shall provide customs clearance, trade documents preparation, inspection and data processing Services for materials imported or exported by Party A, select, evaluate and negotiate with potential contractors for Party A’s construction projects and overseas equipment suppliers and draft related contracts. 2.3.4.2 Party A shall pay Party B commissions based on the number of import and export transactions conducted by Party B. For detailed fee and commission schedules, please see Exhibit 5—Agent Services Agreement.

Agent Services. Commencing on the Effective Date, Agent shall commence performance of the Agent Services as provided in and in conformance with the requirements and restrictions of this Agreement.

Agent Services. To the extent and where permitted by applicable law and during the term of this Agreement, ACE shall provide the following Agent Services at the Participating Stores (as hereinafter defined) during their normal business hours: (a) make available to its customers applications for NetSpend Cards, accept applications for NetSpend Cards for delivery to NetSpend, accept corresponding application fees from customers, and issue Temporary Cards (as hereinafter defined); (b) receive for delivery to the Issuing Bank voluntary payments from customers, in the form of cash only, to add or “load” funds to the accounts associated with their NetSpend Cards via point-of-sale swipe transactions (“Card Payments”); (c) permit customers to withdraw funds from the accounts associated with such customer’s NetSpend Cards via point-of-sale swipe transactions (“Cash Withdrawals”); (d) make available to, and accept applications from, customers to enroll or participate in programs or features with respect to the NetSpend Cards as NetSpend and ACE shall mutually agree upon from time to time, which shall include, without limitation, (i) enrollment in the direct deposit program offered by NetSpend with respect to the NetSpend Cards and (ii) the marketing and sale of NetSpend Cards that shall be marketed by ACE as “gift” and “payroll” cards; and (e) maintain a link on the ACE website (the “ACE Website Link”), and otherwise engage in such marketing as ACE shall determine, to direct ACE customers to a website operated and maintained by NetSpend (the “ACE/NetSpend Acquisition Website”) where such customers shall be able to apply for and, if approved, obtain a NetSpend Card from NetSpend. The content, style and placement of the ACE Website Link shall be determined by ACE in its sole discretion. NetSpend shall develop the ACE/NetSpend Acquisition Website with the cooperation of ACE and subject to the approval of ACE, which shall not be unreasonably withheld. The ACE/NetSpend Acquisition Website shall have the “look and feel” of an ACE website, though the NetSpend name, logos, trademarks, tradenames and other intellectual property may also appear.

Agent Services. To furnish the services of the Agent as agent for the Strata Corporation in assisting the Strata Council in managing the business affairs of the Strata Corporation;

Agent Services. Ace shall, at GNB's reasonable direction in accordance with the terms of this Agreement, as GNB's agent at each Location at which Bank Loans are offered: (a) Obtain (if necessary) and maintain a PIN keypad, a magnetic card reader that can read the Cards, POS Software (as defined below in this Section 1.5), and the ability to connect to GNB's loan approval center through GNB's national toll-free telephone access number, all in such form as is reasonably acceptable to GNB. (b) Maintain signage reasonably acceptable to GNB indicating the availability of Bank Loans and, if the application forms are in paper format, copies of application forms for Bank Loans. (c) Provide GNB's application forms for Bank Loans to prospective borrowers who so request. (d) Upon request, assist each prospective borrower in completing an application form and transmit that completed application form for a Bank Loan to GNB for evaluation. (e) Deliver to each prospective borrower the appropriate form(s) of legally required disclosure (prepared by GNB). (f) Submit to each prospective borrower whose loan application has been approved by GNB the documentation required by GNB for a Bank Loan, or deliver to each prospective borrower whose loan application has been denied the loan denial documentation prepared by GNB. --------------- * Confidential treatment has been requested for certain portions of this document pursuant to an application for confidential treatment sent to the Securities and Exchange Commission. (g) To the extent required by GNB, deliver to GNB the borrower's signed loan documentation (including the Bank Loan application and the promissory note) for a Bank Loan * after approval of the Bank Loan, with the delivery cost from Ace's regional office to (or as directed by) GNB to be paid by GNB. (h) Provide to each borrower GNB's forms to establish an account at GNB, assist (as requested) each borrower in completing the forms, deliver a Card (including the corresponding PIN) to each borrower under a Bank Loan as directed by GNB, and (to the extent required by GNB) deliver to GNB the borrower's signed Card and account authorization documents ( * after the execution of these documents, with the delivery cost from Ace's regional office to GNB to be paid by GNB). Agent Services. In its capacity as your Manager and authorized agent, StoneCastle will be authorized to: (i) keep records as to the amount of your money on deposit in each Insured Depository; (ii) take such action and sign all documentation which may be required for collection of any portion of the principal or interest on your FFB Account including any instrument required to affect any disposition of deposits; (iii) provide periodic electronic statements of account activity, account balances, tax reporting information, if applicable, and any other legally required information to receive payments for deposits and dispose of such payments as instructed; and (iv) provide the foregoing services to you without charging any additional fees to you apart from a management fee (“FICA Fee”) that will be deducted from your FFB Account. The FFB Custodian has no responsibility or liability with respect to the actions or omissions of StoneCastle; it has no duty to oversee, monitor or supervise StoneCastle, and has no duty to investigate, confirm, verify or otherwise inquire into any instruction it receives from StoneCastle (or concerning the authority or accuracy thereof) with respect to your funds or your FFB Account. The FFB Custodian will not be privy to instructions you may send to StoneCastle from time to time.

Agent Services. Agent agrees to perform the following services during the term of this Agreement. The parties agree that the performance of such services constitutes material obligations of Agent: a. Utilize its best efforts to obtain and maintain mutually agreed upon sales objectives for Products; b. Market the Publisher’s titles to the appropriate Licensee(s) in Agent’s active client database of Licensees so long as any title pitched meets DC’s “Minimum Pitch Threshold” (MPT) or in the absence of MPT, at Agent’s discretion c. Promptly perform all services reasonably necessary to execute a contract and receive payment; d. Provide opportunities for product presence and personal promotion at in-person and/or virtual book fairs attended worldwide by Agent and/or hosted by Agent (virtual book fairs) for which Publisher wishes to have a presence. Book fair participation is subject to additional fees, which will only be charged to Publisher upon their agreement to such additional fees; e. Collect advances and royalties due to Publisher from Licensees (“Licensing Fees”) and pay those amounts (less Agent’s fees) to Publisher as set forth in section 9(c); and f. Such other services as may be mutually agreed upon by the parties and otherwise necessary to perform Agent’s obligations hereunder.

Agent Services. The Client hereby appoints and constitutes IGOLD as its agent and its true and lawful attorney-in-fact for the purpose of establishing, maintaining, administering and overseeing a separate, individually numbered, fully-allocated and physically segregated sub-account (the “Account”) maintained by a secure storage provider (the “Depository”) selected by IGOLD to hold physical custody of the Product. In connection therewith, and without limiting other agency services IGOLD may provide pursuant to in this Agreement, and subject to IGOLD’s receipt of the Client’s express written directions or authorizations, IGOLD may receive, inspect, authenticate and transfer items of Product, prepare documents for release or shipment, and report activity within the Account.
