ALL TERMS OF THE ESSENCE. All terms of this Agreement are of the essence and breach by any of the parties hereto, shall be considered a material breach entitling the other party to terminate this Agreement (subject to the provisions of Clause (9) hereinabove) and/or to claim damages and/or to claim any other and/or further relief, subject to the provisions of Clause (8) hereinabove.
