Alliance Management Representatives. Each of Novartis and Emisphere shall appoint a senior representative having a general understanding of development, regulatory, and manufacturing issues to act as its Alliance Manager. During the conduct of the Programme and Development by Novartis, each Alliance Manager shall be primarily responsible for facilitating the flow of information and otherwise promoting communications and collaboration within and among the Steering Committee, between the Parties and internally within the Parties.

Each Alliance Manager will also be responsible for: (a) facilitating coordination among the various functional representatives of their appointing Party; (b) providing single-point communication for seeking consensus both internally within the respective Party’s organization and together regarding key global strategy and Plan issues, as appropriate, including facilitating review of external corporate communications in accordance with Section 20.13; and (c) raising and facilitating the resolution of cross-country, cross-Party and/or cross-functional disputes to the appropriate Committee or forum (including but not limited to the JMC (as set forth in Section 5.5(e)) or JCC) as appropriate, in a timely manner.

Alliance Management Representatives. Each of Novartis and Idenix shall appoint a senior representative having a general understanding of development, regulatory, manufacturing and marketing issues to act as its Alliance Manager ("Alliance Manager"). Each Party will notify the other Party as to the name of the individual so appointed within thirty (30) days after the Effective Date, and each Party may replace its Alliance Manager at any time, upon written notice to the other Party in accordance with Section 13.2. Each Alliance Manager shall be primarily responsible for facilitating the flow of information and otherwise promoting communications and collaboration within and among the Joint Steering Committee and Joint Sub-Committees, between the Parties and internally within the Parties. Each Alliance Manager will also be responsible for: (a) facilitating coordination among the various functional representatives of Novartis or Idenix, as appropriate; (b) providing single-point communication for seeking consensus both internally within the respective Party's organization and together regarding key global strategy and plan issues, as appropriate, including facilitating review of external corporate communications in accordance with Section 9.5; and (c) raising cross-country, cross-Party and/or cross-functional disputes to the Joint Steering Committee in a timely manner.

Each Alliance Manager will also be responsible for: (a) facilitating coordination among the various functional representatives of their appointing Party; (b) providing single-point communication for seeking consensus both internally within the respective Party’s organization and together regarding key strategy and EA Plan issues, as appropriate, including facilitating review of external corporate communications in accordance with Section 18.13 of this Agreement and Section 15.2 of the TCA; and (c) raising and facilitating the resolution of cross-country, cross-Party and/or cross-functional disputes to the appropriate Committee or forum (including, but not limited to the TanNov JMC or TanNov JCC, as appropriate), in a timely manner.

  • Alliance Managers Promptly following the Effective Date, each Party will designate an alliance manager to be reasonably available to the other Party to facilitate communication, respond to questions and otherwise oversee that the Parties’ activities hereunder are in line with this Agreement. Such alliance managers will regularly interact with each other on a frequency to be mutually agreed by the Parties and on an ad hoc basis if requested by the Joint Project Team or the Project Leaders. A Party may replace its alliance manager at any time by written notice to the other Party.

  • Alliance Manager Each Party shall appoint a person(s) who shall oversee contact between the Parties for all matters between meetings of each Joint Committee and shall have such other responsibilities as the Parties may agree in writing after the Effective Date (each, an “Alliance Manager”).   • Parties’ Representatives Both Parties shall ensure that throughout the term of this Agreement, a duly appointed Representative is available for communications between the Parties. The Representatives shall have full authority to deal with all day-to-day matters arising under this Agreement. If a Party’s Representative becomes unavailable, the Party shall promptly appoint another Representative. Acts and omissions of Representatives shall be deemed to be acts and omissions of the Party. Owner and CAISO shall be entitled to assume that the Representative of the other Party is at all times acting within the limits of the authority given by the Representative’s Party. Owner’s Representatives and CAISO’s Representatives shall be identified on Schedule J.

  • Management Team Subject to any approval or consulting rights of the --------------- Joint Operations Committee, Manager shall engage or designate one or more individuals experienced in dental group management and direction, including, but not limited to, an administrator, who will be responsible for the overall administration of the Practice including day-to-day operations and strategic development activities.
