Amicable Settlement and Dispute Resolution. 15.2.1 Either Party is entitled to raise any claim, dispute or difference of whatever nature arising under, out of or in connection with this Agreement (“Dispute”) by giving a written notice (Dispute Notice) to the other Party, which shall contain (i) a description of the Dispute; (ii) the grounds for such Dispute; and (iii) all written material in support of its claim 15.2.2 The other Party shall, within thirty (30) Business Days of issue of the Dispute Notice issued under 15.2.1, furnish: (i) Counter-claim and defenses, if any, regarding the Dispute; and (ii) all written material in support of its defenses and counter-claim (i) Within 30 (thirty) Business Days of issue of the Dispute Notice by any party pursuant to Article 15.2.1 is the other Party does not furnish any counter claim or defence under 15.2.2 or within 30 (thirty) Business Days from the date of furnishing counter claims or defence by the other Party, either of the Parties to the Dispute shall refer such Dispute to the Chairman of the Company and the Chairman of BPDB for discussion and resolving the issues. (ii) If the Dispute is not resolved within 30 (thirty) Business Days from the date of reference of such Dispute to the Chairman of the Company and the Chairman of BPDB, it shall be referred to and finally settled by arbitration in accordance with Rules of Arbitration of Singapore International Arbitration Centre (“SIAC Rules”). This Agreement and the rights and obligations of the Parties hereto shall remain in full force and effect, except in so far as such rights and obligations are the subject matter of the arbitration proceeding, which award, if appropriate, shall determine whether and when any termination shall become effective. The seat and venue of the Arbitration shall be Singapore and the arbitration proceedings shall be conducted in English language. The Parties agree that the arbitration award shall be final and binding on both the Parties.
