APPLICATION OF THIS SCHEDULE. The provisions of this Part 6 of the Schedule shall operate to limit the liability of the Warrantors in respect of any Claim.

APPLICATION OF THIS SCHEDULE. No amount shall be released out of the Retention Account otherwise than in accordance with this Schedule 6.

APPLICATION OF THIS SCHEDULE. The provisions of this Schedule shall operate to limit the liability of the Sellers in respect of Claims and/or General Claims (as applicable in accordance with the express provisions of this Schedule 5) and, where specifically stated, any Tax Covenant Claim and/or Indemnity Claims.

APPLICATION OF THIS SCHEDULE. 1.1 Subject to the provisions of clause 8.10 but notwithstanding any other provision of this agreement, the provisions of this Schedule shall operate to limit the liability of the Warrantors in respect of any Claim. 1.2 For the purposes of this Schedule 6, the term “Claim” (as defined in clause 8) shall not include any Tax Claim except in paragraphs 2 and 3 of this Schedule 6 where the term “Claim” shall include a Tax Claim relating to a Tax Warranty.

APPLICATION OF THIS SCHEDULE. Any of the restrictions proscribed by any other paragraph of this Schedule may be waived or varied with the prior written consent of the Buyer and subject to such conditions as it may impose.

APPLICATION OF THIS SCHEDULE. 2.1 The provisions contained in this schedule shall apply from the Subscription Date. (d) No board resolution shall be passed without the consent of the Shareholder.

APPLICATION OF THIS SCHEDULE. 1.1 The provisions of this Schedule shall, together with clause 6.2, operate to limit the liability of the Warrantors in respect of any Claim. 1.2 A Claim is "connected" with another Claim if they all arise out of the occurrence of the same event or relate to the same subject matter.

APPLICATION OF THIS SCHEDULE. 1.1 Subject to paragraph 1.2 of this Schedule 3, the parties intend that the provisions of this Schedule 3 apply to this Agreement and, where so stated to the other Share Purchase Documents. 1.2 Paragraphs 2.1, 2.3 and 2.4 of this Schedule 3 shall not apply to Fundamental Claims. Paragraphs 2.7, 3, 4, 5.4, 5.6 and 6 shall not apply to Tax Claims save that paragraphs 2.7, 4 and 6 shall apply to Tax Warranty Claims.

APPLICATION OF THIS SCHEDULE. No amount shall be released out of the Escrow Account otherwise than in accordance with this Schedule 7.
