(2) Receive monthly payments from the Borrower, credit the payments within one business day of receipt, and retain the payments in a Master Reserve Account (“MRA”) until a semi- annual Debenture payment is due.
(3) Make semi-annual Debenture payments to the Trustee.
b. The Borrower consents to the appointment of ▇▇▇▇▇ Fargo Bank, N.A. as CSA.
c. If SBA names a successor CSA under a new MSAA, the successor will have the duties and rights of ▇▇▇▇▇ Fargo Bank, N.A. under this Agreement. The Borrower and the CDC agree to accept the successor CSA.

APPOINTMENT OF SERVICING AGENT. The Purchaser has ------------------------------ appointed Canadian Imperial Bank of Commerce as its Servicing Agent. The Servicing Agent is responsible for administering and enforcing this Agreement and fulfilling all other duties expressly assigned to it in this Agreement. The Purchaser has granted the Servicing Agent the authority to take all actions necessary to assure the Seller's compliance with the terms of this Agreement and to take all actions required or permitted to be performed by the Purchaser under this Agreement.

c. If SBA names a successor CSA under a new MSAA, the successor will have the duties and rights of Guidehouse under this Agreement. The Borrower and the CDC agree to accept the successor CSA.
APPOINTMENT OF SERVICING AGENT. Upon the occurrence and during the continuation of any Event of Default, to the extent not prohibited by Applicable Health Care Laws and subject to the execution of a Business Associate Agreement, Lender shall have the right to appoint a third party to administer the Receivables (the "Servicing Agent"). The appointment of a Servicing Agent by Lender shall be effective fifteen (15) days after (i) delivery by Lender to Borrower Agent and/or the Credit Parties of written notice of Lender's election to exercise such right and detailing the specific matters relating to Credit Parties' administration of Receivables giving rise to Lender's election so to appoint a Servicing Agent, and (ii) Credit Parties' opportunity during such fifteen (15) day period to cure or address to Lender's satisfaction all such matters. In the event that Credit Parties shall fail to adequately cure or address to Lender's satisfaction the matters so identified by Lender, the appointment of the Servicing Agent shall, in Lender's sole discretion, become immediately effective at the conclusion of such fifteen (15) day period. The Servicing Agent shall administer and service the Receivables for the account of Credit Parties and Lender pursuant to terms, conditions and procedures acceptable to Lender. The Servicing Agent shall cooperate with Lender in establishing and maintaining the electronic interface and electronic data transmission requirements from time to time established by Lender and shall provide Lender such information as it may request regarding the billing, collection and payment on the Receivables. All fees and costs of the Servicing Agent shall constitute Fees and Expenses hereunder and shall be the responsibility of Credit Parties. Upon the appointment of a Servicing Agent, Credit Parties shall immediately transfer to the Servicing Agent, to the fullest extent permitted by applicable law and contracts, all records, computer access and other information as shall be necessary or desirable, in the judgment of the Servicing Agent, to perform the servicing responsibilities. Credit Parties agree to cooperate fully with any Servicing Agent.
