(c) The Security Agent declares that it holds the Security Property on trust for the Finance Parties on the terms contained in this Agreement. (d) In relation to any jurisdiction the courts of which would not recognise or give effect to the trust expressed to be created under paragraph (c), the relationship of the Finance Parties to the Security Agent shall be construed as one of principal and agent but, to the extent permissible under the laws of that jurisdiction, all the other provisions of this Agreement shall have full force and effect between the Parties. (e) For the purposes of paragraph (d) only, the Borrower hereby undertakes to pay to the Security Agent amounts equal to any amounts owing by it to any Lender or the Facility Agent in respect of the Secured Obligations as and when the same fall due for payment by it under the Finance Documents (the Parallel Debt) so that the Security Agent shall be an obligee of such covenant to pay and the Security Agent shall be entitled to claim performance thereof in its own name and not only as Security Agent acting on behalf of the Lenders.
