Appraisal Data. The written information provided by Lessee and its Affiliates to the Appraiser and forming the basis for the conclusions set forth in the Appraisal, taken as a whole, was true and correct in all material respects at such times and did not omit any information known and available to Lessee necessary to make the information provided not misleading at such times.
Appraisal Data. As of the Document Closing Date, the information provided by Lessee or any of its Affiliates to the Appraiser, taken as a whole, was true and correct in all material respects and did not omit any information known and available to Lessee or any of its Affiliates necessary to make the information provided not materially misleading.
Appraisal Data. As of the Document Closing Date, to the Parent Guarantor’s knowledge, the written information (other than any projections, estimates, forecasts and other forward looking information and information of a general economic or industry specific nature) provided by Parent Guarantor or any of its Subsidiaries to the Appraiser and forming the basis for the conclusions set forth in the Appraisal, when taken as a whole and after giving effect to all supplements and updates thereto, was true and correct in all material respects as of the Document Closing Date and did not omit any factual information known and available to the Parent Guarantor or its Subsidiaries necessary to make the information so provided (when taken as a whole and after giving effect to all supplements and updates thereto) not materially misleading in light of the circumstances under which such information was provided; provided that, with respect to written forecasts or projections (if any) so provided to the Appraiser and forming the basis for the conclusions set forth in the Appraisal, the Parent Guarantor represents only that such information was prepared in good faith based upon assumptions believed by the Parent Guarantor to be reasonable at the time prepared (it being understood by the Lessor, the Administrative Agent and the other Participants that any such projections are not to be viewed as facts and are subject to significant uncertainties and contingencies, many of which are beyond the control of the Parent Guarantor, the Lessee or their respective Subsidiaries, that no assurances can be given that such projections will be realized and that actual results may differ materially from such projections).
Appraisal Data. As of the Document Closing Date, the information provided by Guarantor or any of its Affiliates to the Appraiser and forming the basis for the conclusions set forth in the Appraisal, taken as a whole, was true and correct in all material respects and did not omit any information known and available to Guarantor, Lessee or their Affiliates necessary to make the information provided not materially misleading.
Appraisal Data. Taken as a whole, the information provided by Guarantor, Lessee and their Affiliates to the Appraiser was true and correct in all material respects when provided, and when provided did not omit any information known to Lessee, Guarantor or any such Affiliate regarding the title, physical condition, or use of the Leased Property or any of their Affiliates which Lessee or Guarantor or any of their Affiliates knew or should reasonably have known was necessary to make the information provided not materially misleading.
Appraisal Data. As of the Documentation Date, the information provided by such Lessee and its Affiliates to the Appraiser and described in Schedule IV and forming the basis for the conclusions set forth in the Appraisal delivered pursuant to Section 4.1(j), taken as a whole, was true and correct in all material respects and did not, when taken as a whole, omit any information requested by the Appraiser known and available to such Lessee necessary to make the information provided not materially misleading.
Appraisal Data. The information provided or to be provided by Lessees and their Affiliates to the appraiser in connection with each Appraisal and forming the basis for the conclusions set forth in such Appraisal, taken as a whole, was (or will be) true and correct in all material respects as of the date delivered and did not (or will not, as applicable) omit any information known and available to any Lessee or any Affiliate of any Lessee necessary to make the information provided not materially misleading.
Appraisal Data. Taken as a whole, the information provided or to be provided by it and its Affiliates to the Appraiser and forming the basis for the conclusions set forth in each Appraisal was or when provided will be true and correct in all material respects and did not or when provided will not omit any information known to it regarding the title, physical condition, or use of the Leased Property which it or any of its Affiliates knew or should reasonably have known was necessary to make the information provided not materially misleading; PROVIDED, HOWEVER, that the foregoing representation and warranty shall be deemed limited to Lessee's Actual Knowledge to the extent it relates to information prepared by an independent third party and which is not the subject of any other representation and warranty made by Lessor in this Agreement.
Appraisal Data. Annually, no later than November 30 of each year, the agency will provide the President, NTEU Chapter 208 a numerical listing (no names) of performance appraisal ratings by Office, Division, and/or Branch. If the appraisal data is not complete at this time, the Union will be advised of each office or region for which data is missing and its expected completion date, and updated data will be provided as soon as available.
Appraisal Data. The information provided by the Construction Agent and its Affiliates to the Appraiser and forming the basis for the conclusions set forth in (i) the Site Appraisal delivered pursuant to Section 4.1(s) and (ii) the As-Built Appraisal delivered pursuant to Section 4.2, was true and correct in all material respects and did not, when taken as a whole, omit any information requested by the Appraiser actually known and available to the Construction Agent necessary to make the information provided not materially misleading.
