ASSIGNMENT AND NOVATION. 34.1 The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. 34.2 The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: 34.2.1 any Other Contracting Body; or 34.2.2 any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.2. 34.3 A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 34.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Dynamic Marketplace Agreement or any part thereof to: 34.2.1 : any Other Contracting BodyAuthority; or 34.2.2 or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.2. 34.3 37.2. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 37.4 affect the validity of this Framework Dynamic Marketplace Agreement and this Framework Dynamic Marketplace Agreement shall be binding on any successor body to the Authority. 34.4 . If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Dynamic Marketplace Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 33.3 (Termination on InsolvencyFinancial Standing) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 33.4 (Termination on Insolvency)) and to Supplier or Framework Supplier, Dynamic Marketplace Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body Buyer shall not, subject to Clause 34.4 26.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 CCS. If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Buyer or if a body which is not a Contracting Body Buyer succeeds the Authority CCS (both “Transferee” in the rest of this ClauseClause 26.4) the right of termination of the Authority CCS in Clause 30.4 22.2 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 22.2 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Contracting Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement Call Off Contract or any part thereof to: 34.2.1 : any Other other Contracting BodyAuthority; or 34.2.2 or any Central Government Body or other body Authority established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Contracting Authority; or 34.2.3 or any private sector body Authority which substantially performs the functions of the AuthorityCustomer, and the Supplier shall, at the Authority’s Contracting Authority request, enter into a novation agreement in such form as the Contracting Authority shall reasonably specify in order to enable the Contracting Authority to exercise its rights pursuant to this Clause 34.2. 34.3 47.2. A change in the legal status of the Contracting Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 47.4 affect the validity of this Framework Agreement Call Off Contract and this Framework Agreement Call Off Contract shall be binding on any successor body Authority to the Authority. 34.4 Customer. If the Contracting Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement Call Off Contract to a body Authority which is not a Contracting Body Authority or if a body Authority which is not a Contracting Body Authority succeeds the Contracting Authority (both “Transferee” in the rest of this Clause) the right of termination of the Contracting Authority in Clause 30.4 41.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 41.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).

ASSIGNMENT AND NOVATION. 34.1 29.1 The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. 34.2 29.2 The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: 34.2.1 29.2.1 any Other Contracting Body; or 34.2.2 29.2.2 any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 29.2.3 any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.229.2. 34.3 29.3 A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 34.4 29.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 29.4 If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 25.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 25.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

ASSIGNMENT AND NOVATION. 34.1 37.1 The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. 34.2 37.2 The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: 34.2.1 37.2.1 any Other Contracting BodyAuthority; or 34.2.2 37.2.2 any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 37.2.3 any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.237.2. 34.3 37.3 A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 37.4, affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 37.4 If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 Clause 33.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 33.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body shall not, subject to Clause 34.4 35.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 CCS. If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority CCS (both “Transferee” in the rest of this Clause) the right of termination of the Authority CCS in Clause 30.4 31.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 31.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body Buyer shall not, subject to Clause 34.4 36.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 CCS. If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Buyer or if a body which is not a Contracting Body Buyer succeeds the Authority CCS (both “Transferee” in the rest of this Clause) the right of termination of the Authority CCS in Clause 30.4 32.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 37.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 . If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 33.3.15.2 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 33.3.15.2 (Termination on Insolvency)) and to Supplier or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 28.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 28.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

ASSIGNMENT AND NOVATION. 34.1 37.1 The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. 34.2 The Authority 37.2 CCS may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: 34.2.1 37.2.1 any Other Contracting BodyCustomer; or 34.2.2 37.2.2 any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the AuthorityCCS; or 34.2.3 37.2.3 any private sector body which substantially performs the functions of the AuthorityCCS, and the Supplier shall, at the AuthorityCCS’s request, enter into a novation agreement in such form as the Authority CCS shall reasonably specify in order to enable the Authority CCS to exercise its rights pursuant to this Clause 34.237.2. 34.3 37.3 A change in the legal status of the Authority CCS such that it ceases to be a Contracting Body Customer shall not, subject to Clause 34.4 37.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the AuthorityCCS. 34.4 37.4 If the Authority CCS assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Customer or if a body which is not a Contracting Body Customer succeeds the Authority CCS (both “Transferee” in the rest of this Clause) the right of termination of the Authority CCS in Clause 30.4 33.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 33.4 (Termination on Insolvency)) and to Supplier or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: 34.2.1 37.2.1. any Other Contracting BodyAuthority; or 34.2.2 37.2.2. any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 37.2.3. any private sector body which substantially performs the functions of the Authority, and the Supplier Provider shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.237.2. 34.3 37.3. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 37.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 37.4. If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 33.4 (Termination on Insolvency) shall be available to the Supplier Provider in the event of the insolvency of the Transferee (as if the references to Supplier Provider in Clause 30.4 33.4 (Termination on Insolvency)) and to Supplier Provider or the Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

ASSIGNMENT AND NOVATION. 34.1 27.1 The Supplier shall not assign, novate, novate or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement without the prior written consent of the Authority (such consent not to be unreasonably withheld or any part of it without Approvaldelayed). 34.2 27.2 The Authority may at its discretion assign, novate or otherwise dispose of any or all of its rights, obligations and liabilities and obligations under this Framework Agreement or and/or any part thereof associated licences to: 34.2.1 any Other Contracting Body; or 34.2.2 27.2.1 any Central Government or NHS Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 27.2.2 any private sector body which substantially performs the functions of the Authority, . and the Supplier shall, at the Authority’s 's request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.2clause 27.2. 34.3 27.3 A change in the legal status of the Authority such that it ceases to be a Contracting Central Government Body shall not, subject to Clause 34.4 not affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 27.4 If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Central Government or NHS Body or if a body which is not a Contracting Central Government or NHS Body succeeds the Authority (both “Transferee” in any such body a "Successor Body"), the rest of this Clause) Supplier shall have the right to terminate this Framework Agreement in respect of termination of any Insolvency Event affecting the Authority in Clause 30.4 (Termination Successor Body on Insolvency) shall be available to terms the Supplier in the event of the insolvency of the Transferee (same as if the references to Supplier in Clause 30.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of it were an Insolvency Event were references to affecting the TransfereeSupplier.

ASSIGNMENT AND NOVATION. 34.1 37.1 The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Panel Agreement or any part of it without Approval. 34.2 37.2 The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Panel Agreement or any part thereof to: 34.2.1 37.2.1 any Other Contracting BodyPanel Customers; or 34.2.2 37.2.2 any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 37.2.3 any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.237.2. 34.3 37.3 A change in the legal status of the Authority such that it ceases to be a Contracting Body Panel Customer shall not, subject to Clause 34.4 37.4 affect the validity of this Framework Panel Agreement and this Framework Panel Agreement shall be binding on any successor body to the Authority. 34.4 37.4 If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Panel Agreement to a body which is not a Contracting Body Panel Customer or if a body which is not a Contracting Body Panel Customer succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 33.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 33.4 (Termination on Insolvency)) and to Supplier or Framework the Panel Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 36.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 . If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 32.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 32.4 (Termination on Insolvency)) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee.

The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Dynamic Purchasing System Agreement or any part thereof to: 34.2.1 : any Other Contracting BodyAuthority; or 34.2.2 or any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 or any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.2. 34.3 92. A change in the legal status of the Authority such that it ceases to be a Contracting Body Authority shall not, subject to Clause 34.4 94 affect the validity of this Framework Dynamic Purchasing System Agreement and this Framework Dynamic Purchasing System Agreement shall be binding on any successor body to the Authority. 34.4 . If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Dynamic Purchasing System Agreement to a body which is not a Contracting Body Authority or if a body which is not a Contracting Body Authority succeeds the Authority (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 75.4 (Termination on Insolvency) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 75.4 (Termination on Insolvency)) and to Supplier or Framework the Dynamic Purchasing System Guarantor or Call Off Contract Guarantor in the definition of Insolvency Event were references to the Transferee.

ASSIGNMENT AND NOVATION. 34.1 36.1 The Supplier shall not assign, novate, or otherwise dispose of or create any trust in relation to any or all of its rights, obligations or liabilities under this Framework Agreement or any part of it without Approval. 34.2 36.2 The Authority may assign, novate or otherwise dispose of any or all of its rights, liabilities and obligations under this Framework Agreement or any part thereof to: 34.2.1 (a) any Other Contracting Body; or 34.2.2 (b) any Central Government Body or other body established by the Crown or under statute in order substantially to perform any of the functions that had previously been performed by the Authority; or 34.2.3 (c) any private sector body which substantially performs the functions of the Authority, and the Supplier shall, at the Authority’s request, enter into a novation agreement in such form as the Authority shall reasonably specify in order to enable the Authority to exercise its rights pursuant to this Clause 34.236.2. 34.3 36.3 A change in the legal status of the Authority such that it ceases to be a Contracting Body shall not, subject to Clause 34.4 36.4 affect the validity of this Framework Agreement and this Framework Agreement shall be binding on any successor body to the Authority. 34.4 36.4 If the Authority assigns, novates or otherwise disposes of any of its rights, obligations or liabilities under this Framework Agreement to a body which is not a Contracting Body or if a body which is not a Contracting Body succeeds the Authority Authority, (both “Transferee” in the rest of this Clause) the right of termination of the Authority in Clause 30.4 25.1(b) (Termination on Insolvencyand Suspension) shall be available to the Supplier in the event of the insolvency of the Transferee (as if the references to Supplier in Clause 30.4 25.1(b) (Termination on Insolvency)and Suspension) and to Supplier or Framework Guarantor or Call Off Guarantor in the definition of Insolvency Event were references to the Transferee).
