ASSIGNMENT AND SUBCONTRACTS. Neither ITS nor Seller may assign, subcontract, or otherwise transfer this EPL Agreement or its obligations hereunder without the prior written consent of the other party via written amendment to this EPL Agreement. Further, neither Seller nor Purchaser may assign, subcontract, or otherwise transfer a supplemental agreement and/or purchase order or its obligations thereunder without the prior written consent of the other party via written amendment to supplemental agreement and/or purchase order. Any attempted assignment or transfer of its obligations without such consent shall be null and void. This Agreement shall be binding upon the parties’ respective successors and assigns.
