Common use of Assignment by Client Clause in Contracts

Assignment by Client. All the terms, provisions, covenants and conditions of this Agreement (including any modifications thereto) shall be binding upon, inure to the benefit of, and be enforceable by CLIENT, its successors and assigns; provided however, that no portion of this Agreement (including any Task Order) and the rights and obligations thereunder shall be assignable or delegable by CLIENT, by operation of law or otherwise, without the express prior written consent of ▇▇▇▇▇▇▇ ▇▇▇▇▇ which consent shall not be unreasonably withheld.
