Common use of Assignment by Customer Clause in Contracts

Assignment by Customer. Customer shall not assign its interests in this Agreement, nor any part thereof, without Provider’s prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed; provided that (i) Customer may make an Assignment through merger, consolidation or sale of all or substantially all of Customer’s stock or assets, and (ii) Customer shall assign its rights and obligations hereunder to any successor owner of the Property and shall require any such successor owner to provide Provider with a written confirmation of such assignment and assumption; provided, further, that without Provider’s prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed, no such assignment in (i) or (ii) shall release Customer from its obligations hereunder.‌

Assignment by Customer. Customer shall not assign its interests in this Agreement, nor any part thereof, without Provider’s prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed; provided that (i) Customer may make an Assignment through merger, consolidation or sale of all or substantially all of Customer’s stock or assets, or with respect to the sale of Customer’s individual assets (e.g., sale of an individual building or Site), and (ii) Customer shall assign its rights and obligations hereunder to any successor owner of the any Property made subject hereto and shall require any such successor owner to provide Provider with a written confirmation of such assignment and assumption; provided, further, that without Provider’s prior written consent, which consent shall not be unreasonably withheld, conditioned withheld or delayed, no such assignment in (i) or (ii) shall release Customer from its obligations hereunder.‌hereunder.
