Common use of Assignment by Licensor Clause in Contracts

Assignment by Licensor. Licensor shall have a complete and unrestricted right to sell, transfer, lease or assign its rights and interests in this Agreement to any domestic or foreign corporation or other business entity, providing that such transferee agrees to be bound by all of the terms hereof and is the holder of the Trademark in the Territory. When Licensor wishes to sell, transfer, lease or assign its rights and interests in this Agreement, Licensor shall do so on notice to Licensee.

Assignment by Licensor. Licensor shall have has a complete and unrestricted right to sell, transfer, lease or assign its rights and interests in this Agreement to any domestic person or foreign corporation or other business entity, providing that such transferee agrees to be bound by all of the terms hereof and is obligations of Licensor hereunder and has the holder of the Trademark requisite rights in the TerritoryTrademarks to fulfill its obligations hereunder. When Licensor wishes to sell, transfer, lease or assign its rights and interests in this Agreement, Licensor shall do so on give reasonable notice to Licensee.
