Common use of Assignment by the Employer Clause in Contracts

Assignment by the Employer. The Employer may assign this Agreement to any successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) to all or substantially all of the business and/or the assets of the Employer. As used in this Agreement, the “Employer” shall mean the Employer as herein before defined and any successor to its business and/or assets as aforesaid which otherwise becomes bound by all the terms and provisions of this Agreement by operation of law and this Agreement shall be binding upon, and inure to the benefit of, the Employer, as so defined.
