Common use of Assignment of Assets Clause in Contracts

Assignment of Assets. Effective as of the date hereof, Seller does hereby sell, convey and assign to Buyer, free and clear of all Liens, except Permitted Liens, all of its right, title and interest in and to the Purchased Assets other than the Excluded Assets and Buyer hereby accepts the foregoing assignment of the Purchased Assets other than the Excluded Assets, upon the terms and conditions set forth in the Purchase and Sale Agreement.
