Assignment of the Contract. ‌ The Client may assign its rights and obligations under the Agreement, in full or in part, provided that the Client can prove that the acquirer has the financial resources required to fulfil the Client's obligations under the Agreement. The Supplier may not assign or pledge the Agreement, part of or interest therein, without the Client's consent. Such consent cannot be refused without a valid reason.
