Assignment; Successors Sample Clauses

The "Assignment; Successors" clause defines whether and how a party to the contract may transfer its rights or obligations to another party, and clarifies that the contract binds and benefits successors and permitted assigns. Typically, this clause restricts assignment without the other party's consent, ensuring that neither party can unilaterally transfer their responsibilities or benefits to a third party unless allowed. It also ensures that if a party undergoes a merger, acquisition, or other change in control, the contract remains enforceable against the new entity. The core function of this clause is to maintain control over who is involved in the contract and to provide continuity and certainty in the event of organizational changes.
