Assignment Termination. This Agreement shall inure to the benefit of the successors and assigns of either Party hereto, provided, however, that Dealer may not assign this Agreement without Distributor’s prior written consent. This Agreement may be terminated by either party, without penalty, upon sixty days’ prior written notice to the other party. Any unfulfilled obligations hereunder, and all obligations of indemnification, shall survive the termination of this agreement.
