Assignments and Delegations. This Indemnification Agreement may not be assigned or delegated, in whole or in part, by either party without the prior written consent of the other party. Subject to the foregoing, this Indemnification Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
