Any fact or item disclosed on any Schedule to this Agreement shall be deemed disclosed on all other Schedules to this Agreement to which such fact or item may reasonably apply so long as such disclosure is in sufficient detail to enable a Party to identify the facts or items to which it applies. Any fact or item disclosed on any Schedule hereto shall not by reason only of such inclusion be deemed to be material and shall not be employed as a point of reference in determining any standard of materiality under this Agreement.

Attachments and Schedules. All Annexes, Exhibits, Attachments and Schedules attached hereto (which, for the avoidance of doubt and except as otherwise expressly provided in this Section 12.7, includes the Schedules and Disclosure Schedules delivered with the Prior Agreement), and any Annexes, Exhibits, Attachments and Schedules attached thereto, are incorporated herein and expressly made a part of this Agreement as though completely set forth herein. All references to this Agreement herein or in any such Annexes, Exhibits, Attachments or Schedules shall be deemed to refer to this entire Agreement, including all such Attachments and Schedules. Without prejudice to the foregoing, the parties agree to the application of Schedule 12.7 and Schedule 12.20 hereto in respect of the matters set forth therein, and that such matters shall be incorporated herein by reference and expressly made a part of this Agreement as though completely set forth herein in respect of such matters; provided, however, that Schedule 1.3(t), Schedule 12.11(A), Schedule 12.11(C) and Sections 10.7 through 10.11 of Schedule 12.7 of the Prior Agreement are hereby deleted in their entirety.
