Common use of Audits and Record Retention Clause in Contracts

Audits and Record Retention. 1. CMS has the same right to audit with respect to the Track 1+ ACO’s participation in the Track 1+ Model as applies under 42 CFR 425.314(a). This Agreement does not limit or restrict the authority of any other agency (including the HHS Office of Inspector General and the Department of Justice) to audit, evaluate, investigate, or inspect the Track 1+ ACO, its ACO participants, its ACO providers/suppliers, and other individuals or entities performing functions or services related to ACO activities. 2. The Track 1+ ACO shall maintain records related to its participation in the Track 1+ Model in the same manner required under 42 CFR 425.314(b). 3. Notwithstanding any arrangements between or among the Track 1+ ACO, its ACO participants, ACO providers/suppliers, or other individuals or entities performing functions or services related to ACO activities, the Track 1+ ACO is ultimately responsible for fully complying with the terms and conditions of this Agreement.
