Bank shall have received a certificate from the Secretary of each Obligor attesting to the resolutions of each Obligor’s Board of Directors authorizing its execution, delivery, and performance of this Agreement and the other Loan Documents to which each Obligor, respectively, is a party and authorizing specific officers of such Obligor to execute the same.
