Authorizing Resolutions. Purchaser shall have delivered to Sellers copies of the authorizing resolutions of its Board of Representatives authorizing the execution, delivery and performance of this Agreement and all instruments and documents to be delivered in connection herewith and the transactions contemplated hereby, duly certified by an authorized officer of Purchaser.
