Bailment for Perfection of Security Interest Clause Samples

The 'Bailment for Perfection of Security Interest' clause establishes that certain property is transferred into the possession of a third party (the bailee) to perfect a lender's security interest in that property. In practice, this means that the borrower delivers collateral, such as inventory or equipment, to a neutral party, and the lender notifies the bailee of its security interest, ensuring legal recognition of the lender's claim. This arrangement is commonly used when physical possession of the collateral is necessary to perfect the security interest under applicable law. The core function of this clause is to provide a clear and effective method for the lender to secure its interest in the collateral, thereby reducing the risk of competing claims and ensuring enforceability in the event of default.
