Basic Services and Responsibilities. Contractor represents to the District that: (i) it has previously acted as a Contractor; (ii) it has the necessary license(s) required by law for the Services set forth in this Agreement, (License No. ); and (iii) it has expertise and experience in constructability reviews, cost estimating, value engineering, construction supervision, bid preparation, evaluation of construction projects, project scheduling, cost benefit analysis, claims review and negotiation, and general management and administration of construction projects. Contractor covenants to provide its best skill and judgment in furthering the interests of the District in the performance of its obligations under this Agreement. Contractor agrees to furnish efficient business administration and management services and to perform in an expeditious and economical manner consistent with the interests of the District. Contractor shall provide all services with respect to the Project as set forth in this Agreement and the attached exhibits (the “Services”). It is understood and agreed that time is of the essence in connection with the funding plan and the design and construction of the Project and Contractor agrees to use its best efforts to ensure that the Project is completed within the scheduled dates. Unless directed otherwise by the District, the District’s Representative, and/or the Program Manager, the Contractor shall direct all communication, correspondence, and other interactions with the District through the Program Manager, including communication with the District’s personnel, the Architect, the District’s Consultants, and any other agencies, organizations, or outside entities.

All reports, drawings and specifications, as applicable, for the ASR Program Review, when submitted by Consultant to the City, must represent a thorough study and competent solution for the ASR Program Review and shall reflect appropriate and necessary value engineering and professional services applicable. Consultant shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all designs, plans, reports, specifications, drawings, schedules, cost estimates and other services rendered by Consultant. E. Consultant represents to the City that its and all of its subconsultant’s services shall be performed in a skillful and competent manner, exercising due and reasonable professional care, and shall comply with the recognized standards of a nationally recognized consulting firm and the standards and practices in this Agreement. The Consultant shall be responsible to the City for all costs and damages resulting from (i) defects in design that don’t meet the standard of professional care, (ii) non-workability of design details, (iii) failure to comply with the terms of this Agreement, and (iv) negligent acts, errors or omissions. The role and responsibility of the A-E will be to serve as the Project’s Engineer-of-Record and provide services for the investigation, design, documentation, construction support, and alteration of the Project. This scope of work provides policy information, requirements, direction, and guidance for the preparation of CTO deliverables and sets forth expectations for the delivery of services, preparations of the Project construction documents, specifications, design services, cost estimates, and related work to be performed OCPW. 2. The requirements of the Project are designed to support proper operations and maintenance of the facility, as well as meet regulatory permit requirements once construction is complete. It is the policy of OCPW to construct facilities that are functionally adequate, efficient, and which represent an economic balance between initial cost and cost of maintenance and operation. The completed Project shall be determined by its function and requirements. For these reasons, CTO proposals submitted to OCPW Project Management must fully address and incorporate the policies and instructions contained herein. Documents prepared for the Project must provide clear, concise, and precise information for Project stakeholders and contractors. The A-E is expected to make certain that the material is understandable to the intended audience. The A-E will be required to perform, at their own expense, such redesign or revision of reports, plans, specifications, cost estimates, or other deliverables furnished under the contract if OCPW determines that such revision is necessary to correct errors or deficiencies for which the A-E is responsible. 4. The A-E shall serve as lead of a design team that may include other professionals working together to ensure that the final design is carried through to the finished product, with no alterations in materials or design that would lead to operations and maintenance or safety issues or compromise the quality of the facility.   • Roles and Responsibilities 1. The Donor States shall make funds available in support of eligible programmes proposed by the Beneficiary State and agreed on by the Financial Mechanism Committee within the priority sectors listed in Article 3.1 of Protocol 38c and the programme areas listed in the Annex to Protocol 38c. The Donor States and the Beneficiary State shall cooperate on the preparation of concept notes defining the scope and planned results for each programme. 2. The Beneficiary State shall assure the full co-financing of programmes that benefit from support from the EEA Financial Mechanism 2014-2021 in accordance with Annex B and the programme agreements. 3.
