Basis of Consideration. The steam supply price was determined by arm’s length negotiations between the parties with reference to the price prescribed by the Yangzhou Price Bureau. The Yangzhou Price Bureau publishes the reference price for steam to the industry from time to time. The latest reference steam price was published by the Yangzhou Price Bureau on 13 December 2017, stating that the price of steam should not be higher than RMB215 per tonne.

Basis of Consideration. The desalted water supply price was determined by arm’s length negotiations between the parties with reference to the supplying and production costs of desalted water.

Basis of Consideration. The consideration of the Construction Agreement was determined based on the tender price provided by the Contractor and the Construction Agreement was awarded to the Contractor after the tendering process. The Directors assessed (i) the prevailing market price of construction works with similar scale and complexity, (ii) the experience and capability of the Contractor, (iii) the scope and complexity of the Construction Works, and (iv) anticipated material costs and labor costs, and consider that the consideration of the Construction Agreement is fair and reasonable. Among other things, in determining the consideration, the parties have also taken into account the estimated scale and costs of the advertising and promotional activities to be conducted under the Marketing Fee Agreement (including but not limited to the Company’s utilising of the Marketing Fee to develop the market itself or together with the authorised distributors; conducting product trials, exhibitions and door- to-door advertising activities; carrying out customer training activities; maintaining relationships with loyal customers and settlement of payment of promotion fee, market development fee and vehicle storage and transportation fee to distributors), which include but not limited to the manpower and resources to be utilised by the Company in conducting such advertising and promotional activities.
