Common use of Binding Effect Clause in Contracts

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company and the controlling persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Agreement shall be binding upon, and inure solely to the benefit of of, each Underwriter and shall be binding upon the Representative, the Underwriters, the Company and to the controlling personsextent provided in Sections 8 and 10 hereof, the officers and directors and officers controlling persons referred to in Section 5 hereof, therein and their respective successorsheirs, legal representativesexecutors, heirs administrators, successors and assigns, and no other person shall have acquire or be construed to have any legal or equitable right, remedy or claim right under or in respect of or by virtue of this Agreement or any provisions herein containedAgreement. The term “successors and assigns” shall not include a purchaser, in its capacity as such, No purchaser of securities from any of the UnderwritersShares from the Underwriters shall be deemed a successor or assign by reason merely of such purchase.

This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company and the controlling personseach Controlling Person, directors director, officer and officers person referred to in Section 5 hereof, and their respective successors, legal representatives, heirs representatives and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the RepresentativeUnderwriters, the UnderwritersQIU, the Company and the controlling personsdirectors, directors officers and officers Controlling Persons referred to in Section 5 6 hereof, and their respective successors, legal representatives, heirs representatives and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company and the controlling personsControlling Persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs representatives and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities Public Securities or Underwriters’ Securities from any of the Underwriters.

The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the Representative, the Underwriters, the Company Company, MBC and the controlling persons, directors and officers referred to in Section 5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained. The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the Underwriters.

The term “successors and assigns” shall not include a purchaser, in its capacity as such, of securities from any of the UnderwritersUnderwriter.

Binding Effect. Binding Effect. This Agreement shall inure solely to the benefit of and shall be binding upon the RepresentativeRepresentatives, the Underwriters, the Company and the controlling persons, directors and officers referred to in Section 5 Section5 hereof, and their respective successors, legal representatives, heirs and assigns, and no other person shall have or be construed to have any legal or equitable right, remedy or claim under or in respect of or by virtue of this Agreement or any provisions herein contained.
