Board Policies Clause Samples
The "Board Policies" clause establishes the authority of a company's board of directors to create, implement, and modify policies that govern the organization's operations and conduct. Typically, this clause clarifies that all employees, officers, and sometimes shareholders are required to comply with these policies, which may cover areas such as ethics, conflicts of interest, or corporate governance. Its core function is to ensure that the board has clear and recognized power to set standards and procedures, thereby promoting consistent management and reducing ambiguity in organizational expectations.
