Breach Dispute Clause Samples

The Breach Dispute clause outlines the procedures and mechanisms for resolving disagreements that arise when one party is alleged to have violated the terms of the contract. Typically, this clause specifies the steps both parties must follow, such as providing written notice of the breach, allowing a period for the alleged breaching party to cure the issue, and detailing the process for escalating unresolved disputes, which may include mediation, arbitration, or litigation. Its core practical function is to provide a clear, structured pathway for addressing and resolving breaches, thereby minimizing uncertainty and reducing the risk of prolonged or contentious disputes.

If the arbitrator(s) determines that such tolling shall continue, the non-breaching Party shall not have the right to terminate this Agreement unless and until it has been finally determined in accordance with Section 16.2 that the alleged breaching Party is in material breach of this Agreement and the breaching Party fails to cure such breach within the time period remaining in the applicable cure period as of the date of such determination. If the arbitrator(s) determine that such tolling shall not continue, then the applicable cure period shall cease to be tolled as of the date of such determination.
