By Practice Sample Clauses

By Practice. In no event shall the price to be repaid by Practice pursuant to this Section 7.4 exceed the aggregate purchase price paid to Practice (excluding the ambulatory surgery center) by NovaMed pursuant to the terms and conditions of the Contribution and Exchange Agreement.
By Practice. Practice shall not assign, mortgage this Lease, sublet or mortgage all or any portion of the Premises. Any sale or other transfer, individually or in the aggregate, within a 24-month period, of 25% or more of the voting, income or capital interests in Practice, shall constitute an assignment for purposes of this Section.
By Practice. Practice may not delegate any of its duties hereunder, and may not assign this Agreement without Manager's prior written consent.
By Practice. Practice may terminate this Agreement for any reason whatsoever, with or without cause, upon giving thirty (30) days’ written notice to Patient. If the effective date of termination occurs on a day other than a monthly anniversary of the Effective Date of this Agreement, Practice shall refund Patient a prorated portion of Patient’s final Monthly Recurring Charge, defined in Attachment A.

  • Uniform Customs and Practices The Issuing Lender may have the Letters of Credit be subject to The Uniform Customs and Practice for Documentary Credits, as published as of the date of issue by the International Chamber of Commerce (the "UCP"), in which case the UCP may be incorporated therein and deemed in all respects to be a part thereof.
