Common use of Capital Event Clause in Contracts

Capital Event. ▇▇▇▇ ▇▇▇▇▇ has not provided written notice to Seller and Administrative Agent of the occurrence of a Capital Event. If any condition specified in this Section 5.03 shall not have been fulfilled when and as required to be fulfilled, this Agreement may be terminated by the Administrative Agent and the Buyers by notice to PMC and to PMH at any time at or prior to the Effective Date, and neither the Administrative Agent nor any Buyer shall incur any liability as a result of such termination.
