Cause or By Executive Without Good Reason. If Executive's employment is terminated by the Company for Cause or by Executive (other than for Good Reason): (i) the Company shall pay Executive his Base Salary and, to the extent required by law or the Company's vacation policy, his accrued vacation pay through the Date of Termination, as soon as practicable following the Date of Termination; and (ii) the Company shall reimburse Executive pursuant to Section 5(d) for reasonable expenses incurred, but not paid prior to such termination of employment, unless such termination resulted from a misappropriation of Company funds; and (iii) Executive shall be entitled to any other rights, compensation and/or benefits as may be due to Executive in accordance with the terms and provisions of any agreements, plans or programs of the Company.

Cause or By Executive Without Good Reason. If Executive’s employment is terminated by CWMJV for Cause or by Executive (other than for Good Reason): (i) CWMJV shall pay Executive his Base Salary and, to the extent required by law or CWMJV’s policies rgarding paid time off in effect as of the Date of Termination, payment for unused vacation time, as soon as practicable following the Date of Termination; and (ii) CWMJV shall reimburse Executive pursuant to Section 6(d) for reasonable expenses incurred, but not paid prior to such termination of employment, unless such termination resulted from a misappropriation of funds; and (iii) Executive shall be entitled to any other rights, compensation and/or benefits as may be due to Executive in accordance with the terms and provisions of any agreements, plans or programs of CWMJV.
Cause or By Executive Without Good Reason. If Jupiter's consultancy is terminated by the Company for Cause or by Jupiter other than for Good Reason, then the Company shall provide Jupiter with all Accrued Obligations including all stock options and shall have no further obligation to Jupiter hereunder.
