Common use of Change in Effective Control Clause in Contracts

Change in Effective Control. the date that (A) any one person or persons acting as a group (but excluding an intra family acquisition or transfer of stock between members of the ▇▇▇▇▇▇▇▇ family) acquires within a 12-month period ownership of Company stock possessing 40% or more of the total voting power of Company stock, or (B) a majority of the Company's board of directors is replaced during any 12-month period by directors whose appointment or election is not endorsed in advance by a majority of the Company's board of directors; or
