Common use of Change of Control Arrangements Clause in Contracts

Change of Control Arrangements. Executive is a participant in the Company’s Change of Control Severance Plan and also has a Change of Control Severance Agreement with the Company. After the Employment Termination Date, Executive will no longer be eligible to receive benefits under the Company’s Change of Control Severance Plan or Executive’s Change of Control Severance Agreement since each document requires both (1) a termination of employment and (2) a Change of Control to be eligible for benefits. THIS NON-COMPETE AGREEMENT (this “Agreement”) is effective as of January 14, 2015, and is by and between Newfield Exploration Company, a Delaware corporation (the “Company”) and ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇▇, a retiring employee of the Company (“Retiring Employee”).
