Common use of City Code Clause in Contracts

City Code. During the ten years prior to the date of this Agreement, the Company has not: 12.3.1. had at any time any equity share capital listed on the London Stock Exchange; 12.3.2. had any dealings and/or prices at which persons were willing to deal in its equity share capital published in a newspaper, electronic price quotation system or otherwise on a regular basis for a continuous period of at least six months; 12.3.3. had at any time any equity share capital subject to a marketing arrangement as described in section 163(2)(b) of the Companies A▇▇ ▇▇▇▇; or 12.3.4. filed a prospectus with the Registrar of Companies for the issue of any equity share capital.
