Class Actions and Other Legal Proceedings. Sub-Adviser will not compile or file claims or take any related actions on behalf of the Fund in any class action, bankruptcy or other legal proceeding related to securities currently or previously held in the Account (“Legal Proceedings”). The Sub-Adviser shall provide factual information relating to Fund’s account in its possession as the Adviser may reasonably request.

Class Actions and Other Legal Proceedings. Notwithstanding anything else to the contrary in this Agreement, the Sub-Advisor will not compile or file claims or take any related actions on behalf of the Fund in any class action, bankruptcy or other legal proceeding related to securities currently or previously held in the Allocated Portion. However, the Sub-Advisor shall provide factual information in its possession as the Advisor may reasonably request.

Class Actions and Other Legal Proceedings. The Advisor will not compile or file claims or take any related actions on behalf of the Fund in any class action, bankruptcy or other legal proceeding related to securities currently or previously held in the Ninety One Portfolio. The Advisor shall provide factual information in its possession as the Trust may reasonably request and shall forward any information it may receive about such actions to the Trust.

Class Actions and Other Legal Proceedings. WME will not compile or file claims or take any related actions on behalf of the Client in any class action, bankruptcy or other legal proceeding related to securities currently or previously held in the Account (“Legal Proceedings”), WME shall provide factual information in its possession as the Client may reasonably request. The Client shall pay or reimburse costs actually and reasonably incurred by WME or its affiliates in connection with such Legal Proceedings, such as costs associated with complying with subpoenas or appearing as a witness by reason of WME’s or its affiliates’ roles and responsibilities under this Agreement.

Class Actions and Other Legal Proceedings. The Sub-Advisor will not compile or file claims or take any related actions on behalf of the Advisor in any class action, bankruptcy, or other legal proceeding related to the Sub-Advisor Assets. Notwithstanding this, to the extent there is any such class action, bankruptcy, or other legal proceeding against or involving any issue of securities held in the Sub-Advisor Assets, the Sub-Advisor agrees to provide any assistance reasonably requested by the Advisor.
